These Terms and Conditions (“Terms”) govern your use of this website and the purchase of professional digital marketing and data science services provided by Aditi Mukherjee (“the Consultant”). By accessing this website or engaging in a service agreement, you agree to be bound by these Terms.

1. Scope of Services

The Consultant provides professional services including, but not limited to, Search Engine Optimization (SEO), Social Media Marketing, Content Strategy, and Data Science Consulting. Each project will be governed by a specific Statement of Work (SOW) or Proposal which outlines the deliverables, timelines, and costs.

2. Intellectual Property Rights

Ownership of Work: All strategies, audits, content drafts, and creative assets remain the sole property of the Consultant until the client has paid the final invoice in full.

Transfer of Rights: Upon receipt of full payment, the Consultant grants the Client a non-exclusive, perpetual license to use the deliverables for their intended business purposes.

Portfolio Rights: The Consultant retains the right to use snippets, screenshots, or generalized case studies of the work performed for promotional and portfolio purposes, unless a non-disclosure agreement (NDA) is explicitly signed.

3. Professional Performance & Guarantees

Third-Party Platforms: The Client acknowledges that the Consultant has no control over the policies, algorithms, or sudden changes made by third-party platforms (e.g., Google, Meta, LinkedIn, X).

No Guarantee of Specific Results: While the Consultant uses data-driven strategies and best practices, no specific ranking, traffic volume, or "viral" success is guaranteed. Marketing performance is subject to market fluctuations and competitor activity.

Client Cooperation: Timely delivery depends on the Client providing necessary access (GA4, Search Console, Social IDs) and feedback within 48-72 hours of a request. Delays by the Client may result in rescheduled timelines.

4. Payment & Financial Terms

Billing Structure: Services are billed on a milestone, project, or monthly retainer basis as specified in the individual proposal.

Payment Timeline: Invoices must be cleared within 7 days of receipt. Late payments may incur a service charge of 2% per month on the outstanding balance.

Refunds: Due to the nature of digital services and the immediate allocation of resources, all payments made for services already rendered or hours logged are non-refundable.

5. Confidentiality & Data Privacy Mutual Confidentiality: Both parties agree to keep proprietary business information, trade secrets, and sensitive data confidential during and after the term of the engagement.

Data Protection: The Consultant adheres to standard data protection practices. Any personal data collected via this website is governed by our Privacy Policy.

6. Limitation of Liability Service Risks: The Consultant shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data, arising from the use of services or third-party platform updates.

Liability Cap: In any event, the Consultant’s total liability shall not exceed the total amount paid by the Client for the specific project or month of service in which the claim arose.

7. Termination

Notice Period: Either party may terminate a retainer agreement with 30 days' written notice.

Immediate Termination: The Consultant reserves the right to suspend or terminate services immediately if the Client breaches these terms or fails to settle outstanding invoices.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka.
